Registration Information

Required materials for registering a India foreign company (LLC):

1.Materials required for registering an LLC in India (We could provide the materials upon request, but the files need to be publicly notarized.)

2. Registered address (We can provide as long as the customer send us materials required)

1) One of the followings shall be provided:

a) Lease agreement;

b) Proof of household ownership (director/relative) - registration certificate/property tax receipt;

2) Recent (within one year of filling in the form) electricity /water/natural gas/mobile phone bill.

3) No objection certificate (NOC) issued by the property owner right to any director.

3. Business scope (please inform us business production, trade and branch in advance)

4. Registered capital

5. Identity certificates (passports) of at least 2 shareholders and directors (one of them needs to be Indian citizen or resident).This could be provided by Haifeng upon request

6. List of shareholders and the amount of shares (minimum 2 shareholders, maximum 50 shareholders)

7. Proof of personal addresses of shareholders and directors (phone bills/recent bank statements/electricity bills within one year from the date of filling in the form recently; public certification is required)

8. Shareholders and directors need to provide contact information (telephone, address, e-mail, education and father’s name)

Note: Materials mentioned above are for individual shareholders. If the investor is a corporate body (company), the following materials must be provided: company business license, organization outline, and directors resolutions (drafted by Haifeng). All materials shall be notarized by the Indian Embassy in China.

 


Registration Fee

The cost of establishing an Indian LLC

1. Incorporation costs (for main first-tier cities)

2. Printing tax

Registered capital Rs 100,000, Stamp Duty Rs 5,000

Registered capital Rs 500,000, Stamp Duty Rs 21,000

Registered capital Rs 1,000,000, Stamp Duty Rs 36,000 (according to the quoted price on the day)

3. Provide nominated directors Rs 12,000/month

4. Provide registered address:

(1) Registered address for general trade customers

(2) Apply for an Amazon account (one address can only register one account) 


Registration Process

Formalities for incorporating an Indian LLC 

1. Sign the power of attorney and make full the payment;

2. Provide required materials for registration, get all the related documents publicly notarized in China, apply for DIN;

3. Provide company name and business scope for verification (about 1 week);

4. Application forms and documents including AOA, MOA, DSC, form49AA, etc. prepared by Haifeng (about 10 working days);

5. The documents get notarized in China. 2 notarized certificates are required (about 1 month);

6. Deliver all notarized documents to India (about 3 days);

7. Our company will get the registration certificate within 15 working days after receiving the documents;

8. Apply for PAN/TAN and Chinese director DIN at the same time (about 2-3 weeks);

9. Open bank account (the director him/herself must to be present. If an Indian is hired to be the director, he/she shall be present. Estimated time span: 1-2 weeks);

Note: We can provide the templates, but the client shall arrange public notification him/herself.
